1. Seller and scope

These Terms and Conditions govern all purchases made at www.osaelectronics.com from OSA ELECTRONICS COMPANY, S.L. (“OSA Electronics”), NIF B04950838, Calle Monlau 51, local, 08027 Barcelona, Spain, registered in the Registro Mercantil de Barcelona, Volume 47714, Folio 66, Sheet B-560247. Contact: info@osaelectronics.com.

We sell both to consumers (individuals buying for purposes outside their trade or profession) and to business customers. Where these terms treat the two groups differently, this is stated explicitly. Nothing in these terms limits the rights that consumers have under the law, in particular under the Spanish Consumer Protection Act (Real Decreto Legislativo 1/2007).

You must accept these terms when placing an order. You can save or print them from this page. The contract can be concluded in English or Spanish.

2. Products and technical information

Our products are electronic components and modules, mainly power supplies, designed to be integrated by the customer into larger equipment. Specifications are those of the datasheet in force at the time of the order. Product images are illustrative. The customer is responsible for checking that the product suits the intended application and for its correct installation and use according to the datasheet.

Unless expressly agreed in writing, our products are not designed or authorised for use in life-support or implantable medical devices, or in safety-critical systems whose failure could cause injury or death.

3. Prices and taxes

Prices are in euros (EUR). The final price, including applicable taxes and shipping costs, is shown to you before you confirm the order.

  • Spain and other EU countries: Spanish VAT or, where applicable, the VAT of the destination country is included in the final price.
  • EU business customers with a valid VAT number registered in VIES and a delivery address in another EU Member State: the intra-Community supply is VAT-exempt (reverse charge), subject to validation of the VAT number.
  • Destinations outside the EU: exports are VAT-exempt in Spain. Import duties, taxes and customs fees in the destination country are not included and are paid by the recipient (see our Shipping Policy).

In the event of an obvious error in the price shown, we will inform you and you may confirm the order at the correct price or cancel it at no cost.

4. How to order

  1. Add the products to the cart and go to checkout.
  2. Enter your billing and shipping details and choose the shipping method. You can review and correct your data and the cart contents before paying.
  3. Accept these Terms and Conditions and confirm the order with an obligation to pay.
  4. You will receive an email confirming your order. The contract is concluded when we send that confirmation. We keep a record of the order, and you can see it in your account if you have one.

We may reject or cancel an order in exceptional cases, for example when a product is out of stock, the payment is not authorised, or there are signs of fraud or of a breach of export-control rules. If we have already charged you, we will refund the full amount.

5. Payment

You can pay by credit or debit card (processed securely by Stripe) or with PayPal. The amount is charged when the order is placed. OSA Electronics never receives or stores your full card details. Business customers may agree other payment terms with us in writing.

6. Delivery

Delivery terms, carriers, transit times and customs conditions are described in our Shipping Policy, which forms part of these terms. For consumers, the risk of loss or damage passes when they (or a person they designate) receive the goods. For business customers, risk passes when the goods are handed over to the carrier, unless otherwise agreed.

7. Right of withdrawal (consumers)

Consumers may withdraw from the contract within 14 calendar days of receiving the goods, without giving any reason. The procedure, costs and the model withdrawal form are explained in our Returns Policy. Business customers do not have a statutory right of withdrawal; the voluntary return conditions for businesses are also described in the Returns Policy.

8. Warranty

Consumers: you have the legal guarantee of conformity of 3 years from delivery (Real Decreto Legislativo 1/2007). If a product is not in conformity, you can ask for repair or replacement and, where applicable, a price reduction or termination of the contract. Lack of conformity that appears within the first 2 years is presumed to have existed at delivery.

Business customers: we warrant our products against defects in materials and workmanship for 1 year from delivery. Within this period we will, at our choice, repair or replace the defective product or refund its price. The warranty does not cover damage caused by incorrect installation or use outside the datasheet specifications (for example over-voltage, reverse polarity, overload, inadequate cooling), by modifications or repairs not authorised by us, or normal wear.

To make a warranty claim, contact us at info@osaelectronics.com or through the RMA form on the Returns page before sending anything back. If the defect is confirmed, we pay the shipping costs of the return and of the repaired or replacement product.

9. Liability

For business customers, OSA Electronics’ total liability arising from a sale is limited to the price paid for the products concerned, and we are not liable for indirect or consequential damages such as loss of profit, production stoppages or the cost of integrating or removing products, except in the case of wilful misconduct or gross negligence. These limitations do not apply to consumers, nor where the law does not permit them, nor to liability for death or personal injury or under product liability law.

10. Export control

Some products may be subject to export-control regulations. The customer undertakes not to export, re-export or use the products in breach of applicable EU, Spanish or other national export-control or sanctions laws.

11. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, pandemics, strikes, carrier incidents, supply shortages, cyber attacks, etc.). We will inform you as soon as possible and, if the delay is significant, you may cancel the order and get a full refund.

12. Complaints, applicable law and jurisdiction

You can send any complaint to info@osaelectronics.com; we will reply as soon as possible and in any case within one month. Official complaint forms (hojas de reclamación) are available on request.

These terms are governed by Spanish law. For consumers, the courts of the consumer’s place of residence have jurisdiction, and consumers resident in another EU country also keep the protection of the mandatory rules of their country. For business customers, the parties submit to the courts of Barcelona. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
